What You Need to Know about Limitation Laws

Circumstances may occur that will demand that you approach the court of law for justice. When an occasion demands that you should approach the court of law for justice, there are some facts you need to know before instituting an action in court. One of these facts is whether the suit you want to file in the court is one which has a specified period of time within you can file the suit. If it has a specified period of time, you need to find out whether you are within time or out of time in filing the suit. If you are within time, you can go ahead to file your suit. If you are out of time, you cannot file your suit in court. This is the general position of the law.

There are however exceptions to this general position of the law. There are instances where, though you are out of time in filing a suit, the law permits you to file your suit. We shall discuss these instances in our subsequent article. Meanwhile, our focus here is the general position of the law which says that you must file your suit within the period of time prescribed by law. Any law that prescribes a period of time within which action can be instituted in court is called “Limitation Act,” “Limitation Law” or “Statute of Limitation.”  Examples of Limitation Act/Law or Statute of Limitation are:

  1. Limitation Act CAP 522 Law of the Federal Capital Territory;
  2. Limitation Laws of the 36 States of the Federation;
  3. Public Officers Protection Act CAP P41 Laws of the Federation of Nigeria (LFN) 2004; and
  4. Public Officers Protection Laws of the 36 States of the Federation

In view of the above, any action you institute in court outside the specified limitation period will be statute barred. The other lawyer in the suit will file a Notice of Preliminary Objection in the court to challenge the jurisdiction of the court on the grounds that the action is statute barred, and/or plead the defence of statute of limitation in his statement of defence and ask the court to dismiss the case as the action is statue barred. If the court finds that you instituted the action outside the period specified by the law, it will dismiss the case.

How to Incorporate Your NGO, Church, Charity and Association

The procedure for incorporating an NGO, church, charity and association is not quite different from the procedure for incorporating a company. The main difference is that as soon as CAC (Corporate Affairs Commission) approves the name of your NGO, church, charity and association, you are expected to publish in two Nigerian newspapers a 28-day notice of your intention to incorporate your organization. It is after the 28 days has lapsed that you can proceed to incorporate your organization.

Requirements for Incorporation

To incorporate your NGO, church, charity and association, the following are required:

  1. Names, date of birth, occupation, address, email address and phone numbers of the trustees.
  2. Name, date of birth, occupation, address, email address and phone number of the secretary.
  3. Your organisation’s address.
  4. Two passport photographs of each of the Trustees.
  5. Means of identification of each of the Trustees and the secretary. This means of identification should either be international passport, national identity card, voter’s card or driver’s license.
  6. Extract of the 28 days’ notice published in two newspapers.
  7. Extract of minutes of meeting where trustees are appointed and where the Special Clause Rule was adopted into your organisation’s constitution.
  8. Aims and objectives of the NGO, church, charity or association, as the case may be.
  9. The seal of the NGO, church, charity or association (to be designed and presented to CAC for inspection before collecting the organisation’s certificate of incorporation.

Duration of Incorporation

How to Register Your Company in Nigeria

Under Nigeria’s law, that is, the Companies and Allied Matters Act Cap C20 LFN, every company operating in Nigeria must be incorporated at Corporate Affairs Commission (CAC), a federal government agency. Your company can be incorporated as:

  • A company limited by shares
  • A company limited by guarantee; or
  • An unlimited company.

Requirements

To incorporate your company, the following information and documents are required:

  1. At least two shareholders/directors
  2. A secretary
  3. Name, date of birth, occupation, address, phone number and email address of shareholders/directors and the secretary
  4. Amount of shares held by each of the shareholders/directors
  5. Object of the company (types of businesses being carried out by the company)

How to Register Your Business Name in Nigeria

Business name registration is optional. You are not compelled to register your business name. If you choose to carry out your business in your own name, you are not bound to register it. But if your business requires supplying goods or offering services to companies, NGOs (non-governmental organizations), governments and government agencies, then, it is advisable to register your business name. This is because corporate organizations prefer dealing with businesses which names are registered with the Corporate Affairs Commission (CAC).

Again, you may want your business to have its separate bank account. In that case, the bank will require that your business must be registered with CAC and you need to present a copy of the certificate of your business name’s registration to the bank before the bank can open your business account. Further, having a business name puts you in a position to obtain loan or overdraft from banks.
